OFFICIAL RULES

To enter this Sweepstakes, you must agree to and abide by these Official Rules (“Official Rules”).

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU MUST HAVE INTERNET ACCESS, A VALID E-MAIL ADDRESS AND AN X ACCOUNT TO PARTICIPATE. FIRST PRIZE WINNERS MUST HAVE A DISCORD ACCOUNT.

ELIGIBILITY: SWEEPSTAKES OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, WHO ARE AT LEAST TWENTY-ONE (21) YEARS OF AGE. VOID WHERE PROHIBITED BY LAW.

1. SPONSOR:

CrunchLabs LLC, 649 Grape Avenue, Sunnyvale, CA 94087 (“Sponsor”).

2. ADMINISTRATOR:

Probability LLC, 2 Woodstock Meadows Lane, Woodstock, NY 12498 (“Administrator”).

3. ELIGIBILITY:

The “CrunchLabs x Jason Sweepstakes” ("Sweepstakes" or “Promotion”) is open only to legal residents of all 50 United States, and Washington, D.C. who are at least twenty-one (21) years of age. Employees of Sponsor, Administrator, the management and representation of Jason Thanh Nguyen ("Jason") as well as Jason Thanh Nguyen personally, Rivian, LLC ("Rivian"), any organizations/individuals responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and/or their respective parent, subsidiary, affiliated and successor companies, as applicable (collectively, the "Promotion Entities"), and the immediate family and household members of any of the foregoing individuals, are not eligible to enter or win. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. Potential winners must provide proof of eligibility prior to prize award. Void where prohibited or restricted by law.

4. SWEEPSTAKES SCHEDULE:

The Sweepstakes begins on or about 5:00 p.m. Pacific Time (“PT”) on Saturday, June 20, 2026 and ends at 4:59 p.m. PT on Sunday, June 21, 2026. (“Sweepstakes Period”). Jason’s computer is the official clock for this Sweepstakes.

5. SWEEPSTAKES ENTRY: 

On June 20, 2026 at or around 5:00 p.m. PT, Jason will post a Sweepstakes-related post, including a call to action ("CTA") to his X account @JasonTheWeen ("Sweepstakes Post").

To enter, take the following actions (each, a "Sweepstakes Entry" collectively "Sweepstakes Entries")

(a) follow @JasonTheWeen on X (if you do not already);

(b) "like" the Sweepstakes Post; and 

(c) reply with the word "Car" ("Reply")

Important note: Your X account ("Account") must be viewable by Jason and Sponsor. If your X Account is set to "protected mode," or "private" your Comment may not be visible to Jason and Sponsor and thus may not result in entry.

BY POSTING A REPLY UNDER THE SWEEPSTAKES POST WITH WORD "CAR", YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTOOD AND FULLY AGREE TO THESE OFFICIAL RULES. DO NOT POST WITHOUT FIRST REVIEWING THESE OFFICIAL RULES.

You may include content in addition to the word "Car" provided that such content is in full compliance with the restrictions set forth in Rule 6 below. Do NOT include any or personal information (e.g., name, e-mail address or phone numbers) about yourself or anyone else in the Sweepstakes Entry. The inclusion of additional content is not required, will not increase one’s chances of winning a First Prize in the Sweepstakes nor will it be taken into account in the winner selection procedure.

Your Reply must comply with these Official Rules, including the content guidelines in Rule 6 (if the Reply includes content in addition to the word “Car”) below in order to result in a valid Sweepstakes Entry. However, if applicable, the quality of such content will NOT be taken into account in the determination of Winners; see Rule 6 below.

GENERAL CONDITIONS ON ENTRY: If the Reply includes content in addition to the word "Car", by submitting a Sweepstakes Entry, you agree that any Sweepstakes Entry you make is not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and Sponsor/Jason in any way, and that you have no expectation of any review, compensation or consideration of any type (other than the chance to win prize[s] described herein). Once submitted, Sweepstakes Entries become the sole property of Sponsor (subject only to the rights of X Corp. [formerly, Twitter, Inc.]) Posting of a Sweepstakes Entry to the comments/replies section of a Sweepstakes Post that is not thereafter deleted by Sponsor does not constitute any representation of eligibility for the Sweepstakes and the re-posting of any portion of a Sweepstakes Entry by Sponsor (if the Comment includes content in addition to the word “Car”) does not constitute notification that you have won prize[s] (nor is such re-posting in any other way binding upon Sponsor).

If your Reply includes content in addition to the word "Car", you give permission to Sponsor and its designees (including Jason) and hereby grant Sponsor and its designees (including Jason) a royalty-free, irrevocable, perpetual, worldwide, sub-licensable, non-exclusive license (herein "License") to use any portion of the Sweepstakes Entry on any media and through any means now known or hereafter devised, including without limitation, the World Wide Web, and to otherwise use the Sweepstakes Entry, and make derivative works therefrom, without compensation in accordance with the requirements of this Sweepstakes and the advertising, promotion, and publicity of the Sweepstakes, Sponsor’s products and services, and otherwise, as stated in these Official Rules (as solely determined by Sponsor). Such License may be required to be confirmed by entrant upon Sponsor’s request if entrant becomes a potential First Prize winner and in such event, entrant may be required to timely complete, sign and deliver any and all necessary documents, including without limitation, documents setting forth any licenses, releases and indemnities that Sponsor in its sole discretion may require, without condition or compensation of any kind.

Limit of one (1) Sweepstakes Entry per person/X account. Multiple entries in violation of the preceding entry limit and/or mass entry attempts may result in disqualification of all Sweepstakes Entries related to such person/X account. Sweepstakes Entries must be manually key-stroked by the entrant; any use of automated or programmed methods of entry, or Sweepstakes Entries by third parties by any method of entry, are prohibited. Without limitation, re-posting the Reply previously made by another entrant will NOT result in a Sweepstakes Entry. Sweepstakes Entries that do not conform to or violate these Official Rules or are submitted in any manner other than as stated in these Official Rules may be disqualified. (Without limiting the foregoing, any Replies posted outside of the comments/replies section of the Sweepstakes Post will NOT result in a Sweepstakes Entry. This includes, but is not limited to, comments or replies posted on an individual’s own X account/page.) Sponsor is not responsible for late, corrupted, inaccessible/blocked, incomplete or misdirected Sweepstakes Entries. (The preceding includes Sweepstakes Entries not timely received or received at all due to filtering by or other operation of the functionality of X.) All Sweepstakes Entries must be replies and posted to the comments/replies section of the Sweepstakes Post in their entirety prior to the end of the Sweepstakes Period (4:59 p.m. PT on June 21, 2026). By entering the Sweepstakes, entrant agrees to these Official Rules and the decisions of the Sponsor and Administrator (the independent judging organization for the Sweepstakes), which are binding and final, in all matters relating to this Sweepstakes.

If you do not have an X Account, you may download the X application on your mobile device and sign up for an Account according to the instructions in the application. Creating an X account is free. You must accept the X terms of service to create an Account and you must be logged in to your Account to enter the Sweepstakes. You may only use one (1) X account to participate in the Sweepstakes. Use of X will be subject to X’s terms of service (https://x.com/en/tos) and Privacy Policy (https://x.com/en/privacy).

Data rates may apply for each message sent or received from your wireless device according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers' rate plans may vary, and you should contact your wireless carrier for more information on messaging rate plans and charges relating to your participation in this Sweepstakes. Mobile device service may not be available in all areas. Check your phone's capabilities for specific instructions.

AN ATTEMPT BY ANY PERSON TO DAMAGE THE X PLATFORM OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES (INCLUDING THE SCAVENGER HUNT GAME/LIVESTREAM AS DEFINED IN RULE 8 BELOW) OR THE X PLATFORM IS A VIOLATION OF THESE OFFICIAL RULES, AS WELL AS CRIMINAL AND CIVIL LAWS; IN THE EVENT SPONSOR BELIEVES OR BECOMES AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR AND JASON EACH RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WITHOUT LIMITATION CRIMINAL PROSECUTION.

6. SWEEPSTAKES ENTRY RESTRICTIONS/CONTENT GUIDELINES:

If your Reply includes content in addition to the word "Car", in addition to complying with all other requirements of these Official Rules and/or on the website/platform where persons may submit Sweepstakes Entries (i.e., X);, the Sweepstakes Entry must comply with the following guidelines ("Content Guidelines").

Content in Sweepstakes Entries: (a) must be the original and sole creation of the entrant, and all right, title and interest, including but not limited to, the copyright in any Sweepstakes Entry, must be owned solely by the submitting entrant; (b) may not infringe upon any third party’s rights, including but not limited to, copyright, patent or trademarks/tradenames/logos, trade secrets, rights of privacy or publicity, or other proprietary or contractual rights, or any confidentiality obligation; (c) may not contain material that is or may be considered misleading, inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous, or portray or depict any person, product or entity in a false light (and may not disparage or defame Jason); (d) may not violate any law, rule or regulation; (e) may not contain any virus, bugs, or other deleterious material; (f) may not, for example but not limited to, contain content that reflects, advocates or promotes bigotry, racism, hatred, harm or exploitation of or against any class, group or individual, discrimination based on race, gender, religion, nationality, disability, sexual orientation or age, or actions or activities that are restricted, prohibited, illegal or unlawful (including without limitation, the consumption of controlled substances), defamatory statements, words or symbols widely considered offensive to individuals of any certain race, ethnicity, religious, sexual orientation or socioeconomic group, or threats to any person, place, business, group or world peace; (g) may not be sexually explicit or suggestive, or profane; (h) must have been created specifically for this Sweepstakes and not have been previously posted via social media or otherwise; (i) may not include any political, religious or otherwise controversial content; (j) may not defame, misrepresent or contain disparaging remarks about Sponsor or its products, or other products, people (including Jason), or companies; (l) may not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), or any activities that may appear unsafe or dangerous; and each entrant warrants and represents that the content in his/her/their entry complies with all of those conditions. For clarity, Sweepstakes Entries cannot contain, among other things, the trademark, tradename or logo of any third party or entity or product; cannot name or describe or contain the likeness of any person (living, dead, or fictional), other than the entrant, without permission (the preceding includes but is not limited to Jason); and cannot contain any material that is protected by copyright owned by others (including music, photographs, sculptures, paintings and other works of art, or images published on or in websites, television movies or other media) without permission. Sweepstakes Entries that do not meet the requirements and specifications listed in these Content Guidelines and that are otherwise inappropriate, objectionable, or unsuitable , may be disqualified, as determined by Sponsor in its sole discretion. Once a Sweepstakes Entry has been submitted, it cannot be modified.

CONTENT IN SWEEPSTAKES ENTRIES REPRESENTS SOLELY THE VIEWS/OPINIONS OF THE ENTRANT AND DOES NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR OR JASON IN ANY MANNER. SPONSOR AND JASON ARE EACH ACTING AS A PASSIVE CONDUIT FOR THE POSTING/PUBLICATION OF SWEEPSTAKES ENTRIES, INCLUDING SUCH CONTENT AND NEITHER SPONSOR NOR JASON HAS ANY OBLIGATION TO, AND EXPRESSLY DISCLAIM ANY AND ALL LIABILITY IN CONJUNCTION WITH, SCREENING, MONITORING OR REVIEWING CONTENT IN SWEEPSTAKES ENTRIES. NEITHER SPONSOR NOR JASON WILL EDIT OR MODIFY CONTENT IN SWEEPSTAKES ENTRIES IN CONJUNCTION WITH ADMINISTRATION OF THE SWEEPSTAKES.

7. RANDOM DRAWING FOR FIRST PRIZE WINNERS/ODDS OF WINNING FIRST PRIZE: 

Potential First Prize winners will be selected via a random drawing from among all eligible Entries received on Monday, June 22, 2026. The drawing will be conducted by Administrator, an independent judging organization/administrator whose decisions are final and binding on all matters related to the Sweepstakes. For clarity, to the extent that your Reply includes content in addition to the word "Car", such content will NOT be taken into account in the winner selection procedure provided that the Comment is in compliance with these Official Rules (including the content requirements set forth in Rule 6 above.) Odds of winning a First Prize depend on the number of eligible entries received during the Sweepstakes Period.

8. FIRST PRIZE WINNER NOTIFICATION:

On, June 22, 2026 potential First Prize winners will be notified on the social platform used to enter (i.e. by direct message by @JasonTheWeen to the Entrant's X account ("Notification")). IT IS THE SOLE RESPONSIBILITY OF ENTRANT TO CONFIRM THAT THEIR PRIVACY SETTINGS ON X ALLOW FOR JASON TO NOTIFY THEM VIA DIRECT MESSAGE IF THEY ARE SELECTED AS A POTENTIAL FIRST PRIZE WINNER. Sponsor, Administrator and Jason disclaim any liability due to direct message not being timely received (or received at all) by a potential First Prize winner regardless of cause. The Notification will request that the potential First Prize winner e-mail the Administrator at the specified e-mail address with specific personal information (e.g., full name, age, city and state of residence and X handle). Failure to respond to the initial verification notice within twenty-four (24) hours after notification or return of direct message as undeliverable after two (2) attempts will result in disqualification and an alternate potential First Prize winner may be selected, time permitting, as per Rule 7 above.

As part of the First Prize (as defined in Rule 9 below), the winner must agree to participate in the CrunchLabs Car Giveaway Twitch† Livestream to take place on Thursday, June 25, 2026 from 5:00-8:00 p.m. P.T. (“Livestream”). The Livestream will be used to determine the winner of the Grand Prize (as defined in Rule 9 below) from among the First Prize winners, with First Prize winners competing against one another in a scavenger hunt game which is subject to its own rules and regulations. THE FIRST PRIZE WINNER MUST AGREE TO ABIDE BY AND BE BOUND BY THE SCAVENGER HUNT RULES AND REGULATIONS WHICH IS PART OF THE PRIZE CLAIM DOCUMENTS, INCLUDING BUT LIMITED TO THE CODE OF CONDUCT INCLUDED THEREIN. Odds of a First Prize winner winning the Grand Prize are approximately 1:10 but depend on the actual number of First Prize winners competing in the scavenger hunt game on the Livestream as well as the ability of a given First Prize winner as compared to other First Prize winners in participating in the scavenger hunt game. The scavenger hunt game will be conducted by Sponsor and Jason, whose decisions as to the results of the scavenger hunt game including the determination of the Grand Prize winner are final and binding in all respects. (The scavenger hunt game rules and regulations are made a part of these Official Rules and incorporated herein by reference; in the event of any inconsistency between these Official Rules, on the one hand, and the scavenger hunt game rules and regulations, on the other, these Official Rules will prevail and govern in all respects with the sole and limited exception of the conduct of the scavenger hunt game itself as to which the scavenger hunt game rules and regulations will prevail and govern.)

To participate in the Livestream, a First Prize winner must have a Discord† account which can be created for free; see the Terms of Service of the Discord† platform at https://discord.com/terms for terms and conditions.

Any and all costs and expenses incurred by First Prize winner in participating in scavenger hunt game/Livestream are his/her/their sole responsibility; the preceding includes but is not limited to any and all charges related to wireless Internet access (to the extent applicable).

IF WINNER IS NOT AVAILABLE ON JUNE 25, 2026 FROM 5:00 P.M. – 8:00 P.M. P.T. OR DOES NOT WISH TO PARTICIPATE IN THE LIVESTREAM/SCAVENGER HUNT GAME FOR ANY REASON, WINNER MUST FORFEIT THE FIRST PRIZE WITHOUT COMPENSATION OF ANY KIND. IN SUCH CASE, AN ALTERNATE FIRST PRIZE WINNER MAY BE SELECTED FROM AMONG ALL REMAINING ELIGIBLE ENTRIES RECEIVED, TIME PERMITTING.

Potential First Prize winners will be required to sign and return, within twenty-four (24) hours of notification (or such time period as indicated thereon), an Affidavit of Eligibility (collectively, "Affidavit"), Liability Release and Indemnification, a Publicity Release where allowed by law, as well as other documents that Sponsor or Administrator may require (collectively, "Winner Documents''). Without limitation, the Prize Documents will include the scavenger hunt rules and regulations which the potential First Prize winner must agree to as a pre-condition to participation in the Livestream for a chance to win the Grand Prize; Prize Documents will also include the bailment agreement for use of the Grand Prize vehicle which is applicable if and only if the First Prize winner also wins the Grand Prize and selects Option A (see Rule 9 below). If the Affidavit of Eligibility, Release and Indemnification, and Publicity Release, or any other portions of the Winner Documents are not returned to Sponsor within the specified time period, the potential First Prize winner will be disqualified. At the sole discretion of the Sponsor, disqualification and the selection of an alternate potential First Prize winner may result from any of the following, without limitation: [a] potential First Prize winner's failure to respond to Notification within twenty-four (24) hours after its transmission; [b] the return of a Notification as undeliverable after two (2) attempts; [c] potential First Prize winner's failure to execute and return the Winner Documents within twenty-four (24) hours of transmission; [d] potential First Prize winner's failure to provide Sponsor with satisfactory proof of eligibility; and [e] any other non-compliance with these Rules. If a potential First Prize winner is disqualified for any reason, such potential winner will not be eligible to win and an alternate potential winner may be selected (time permitting).

In the event of a dispute as to the identity of a First Prize winner based on the X handle, the associated Entry will be declared made by the authorized account holder of the mobile phone number or e-mail address associated with the X account used to enter the Sweepstakes, as long as such person is otherwise eligible in accordance with these Official Rules. For purposes of these Rules, "Authorized Account Holder'' is defined as the natural person who is assigned to either (a) an e-mail address by an internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.), that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address, or (b) a mobile phone number by a cellular phone service provider that is responsible for assigning phone numbers for the number associated with the Entry (as applicable).

9. PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”):

First Prize (ten [10] winners): (each a "Winner", collectively "Winners") will each receive a CrunchLabs prize pack plus the opportunity to compete in the LiveStream for a chance to win the Grand Prize. Prize pack items are at Sponsor's sole discretion. ARV: $200 each.

Grand Prize (one [1] winner) will receive their choice of either:

(A) the use of a 2025 Rivian R1S electric car for a period of one (1) year subject to the terms of an agreement between Grand Prize winner and Sponsor/Rivian. Sponsor will also arrange for the Grand Prize winner to receive a single cash payment of $13,000 in the form of a check. ARV of Grand Prize option A is $35,000 (“Option A”); or 

(B) $35,000 cash to be awarded in the form of a check. ARV of Grand Prize option B is $35,000. (“Option B”). 

As per the agreement**: A winner selecting Option A (a) must provide proof of valid driver’s license and legally required insurance in order to take possession of the vehicle; (b) will be solely responsible for any and all costs associated with acceptance and use of vehicle, including taking possession of same, any desired upgrades and options, insurance, registration, as well as any required maintenance and operation of vehicle; (c) must pick up the vehicle at an authorized Rivian dealership by a designated date (as stated in the agreement); and (d) at end of one (1) year period, winner will be solely responsible for excess mileage charges (see agreement for mileage allowance) as well as excess wear and tear on the vehicle (see agreement for definition of excess wear and tear). Vehicle as awarded may differ from any vehicle shown in promotional/advertising materials including on @JasonTheWeen and during the Livestream, with Sponsor, Administrator and Jason disclaiming any and all liability in conjunction therewith. TO THE FULLEST EXTENT PERMITTED BY LAW, THE GRAND PRIZE IS AWARDED “AS IS” AND SPONSOR, ADMINISTRATOR AND JASON MAKE NO WARRANTY OF ANY KIND (INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR THE INTENDED PURPOSE) AS TO SAME; THE ONLY WARRANTIES ON THE VEHICLE ARE THOSE OF RIVIAN LLC AND ARE EXPRESSLY LIMITED TO THEIR TERMS.

**The agreement is made a part of these Official Rules and incorporated herein by reference; in the event of any inconsistency between these Official Rules, on the one hand, and the agreement, on the other, these Official Rules will prevail and govern in all respects with the sole and limited exception of the loan of the vehicle itself as to which the agreement will prevail and govern.

TOTAL ARV OF ALL PRIZES: $37,000

For First Prize and Grand Prize:

Without limitation, First Prize him/her/themselves must participate in the scavenger hunt game during Livestream; use of third party proxies is prohibited absent extraordinary circumstances as determined by Sponsor and Administrator in their sole discretion on a case-by-case basis. As applicable, size, color and/or style of the First Prize Pack elements are subject to Sponsor’s sole discretion. First Prize Packs will only be shipped to addresses in the 50 United States. Sponsor/Administrator will not replace any lost, mutilated or stolen prize elements or any prize element that is undeliverable or does not reach a Winner because of an incorrect or changed address or other contact information. Allow up to eight (8) weeks after completion of Winner Document for delivery of First Prize (as applicable). Tracking numbers will NOT be provided. First Prizes (or portion thereof) returned as undeliverable may be forfeited. Prizes must be accepted as awarded or forfeited. (If Grand Prize is declined or forfeited by the First Prize winner who wins the scavenger hunt game for any reason, the liability of Sponsor, Administrator and Jason is limited to award of First Prize to such individual and the First Prize winner who was the runner-up in the scavenger hunt game will instead be deemed the Grand Prize winner.) To the extent not defined herein, Sponsor will determine the specific features and properties of elements comprising Prize. No substitutions allowed, except Sponsor reserves the right to substitute prize or portions thereof with a prize of equal or greater value if any portion of a Prize is unavailable for any reason.

The Grand Prize winner may choose either Prize Option A or Prize Option B as described in Paragraph 9 above. If the Grand Prize winner chooses the Option A Prize the Grand Prize winner is responsible for picking up the vehicle at a Rivian location, at their expense.

Actual Prize elements may differ from images of same in Sweepstakes advertising, including @JasonTheWeen and Livestream, with Sponsor and Administrator disclaiming any and all liability in conjunction therewith.

All applicable federal, state and/or local taxes are the sole responsibility of Winners. Grand Prize Winner will be issued an IRS 1099 Tax Form reflecting the combined value of First Prize and Grand Prize. Grand Prize Winner agrees to provide his/her/their Social Security Number or Tax Identification Number and to otherwise fully cooperate with Sponsor and Administrator as to the issuance of the IRS 1099 Tax Form and Sponsor’s compliance with other applicable tax reporting requirements.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes promotional materials and the terms and conditions of these Official Rules, these Official Rules shall prevail and govern.

10. LIMITATIONS OF LIABILITY:

Sponsor and Administrator are not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind affecting the Sweepstakes (including the scavenger hunt game/Livestream) in any manner, including but not limited to electronic malfunction or damage of any network hardware or software. If for any reason the Sweepstakes (including the scavenger hunt game/Livestream) is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud or technical failures beyond Sponsor’s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes (including entries, scavenger hunt game/Livestream or otherwise), Sponsor reserves the right, in its sole discretion, to disqualify any individual, whether or not the individual is a participant in the Sweepstakes (or the scavenger hunt game, as applicable), who tampers with the entry process, and to terminate, modify or suspend the Sweepstakes. In such event, Sponsor reserves the right to conduct the Sweepstakes and award the First Prizes and/or Grand Prize in a manner which is fair, appropriate and consistent with these Official Rules, as determined by Sponsor in its sole discretion. No responsibility is assumed by any Released Party for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or loss, destruction or unauthorized access to, or alteration of, entries (or participation in the scavenger hunt game/Livestream); or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry or participation to be received on account of technical problems or traffic congestion on the Internet or at any website/platform, or any combination thereof, including any injury or damage to any person's computer or mobile device related to or resulting from participation in or downloading any materials from this Sweepstakes (or participation in the scavenger hunt game/Livestream, if applicable). Failure of Sponsor or Administrator to enforce any provision of these Official Rules shall not constitute the waiver of such provision.

Persons entering the Sweepstakes further agree not to knowingly damage or cause interruption of the Sweepstakes and/or prevent others from participating in the Sweepstakes. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE, WEBSITE OR PLATFORM OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES (INCLUDING THE SCAVENGER HUNT GAME/LIVESTREAM) VIOLATES CRIMINAL OR CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PERSON, WHETHER OR NOT THE INDIVIDUAL IS A PARTICIPANT IN THE SWEEPSTAKES MAKING SUCH ATTEMPT AND SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

11. RELEASES AND ADDITIONAL CONDITIONS OF PARTICIPATION:

By participating, each entrant agrees: (a) to be bound by these Official Rules and the decisions of Sponsor and Administrator, which shall be final and binding in all respects; and (b) to release, discharge and hold harmless each of the Promotion Entities, X Corp. (formerly, Twitter, Inc.), the management and representation of Jason Thanh Nguyen (and Mr Nguyen personally), Mark Rober personally, and each of their respective advertising and promotion agencies, any entity responsible for the administration of this Promotion, each of the foregoing entities’ respective parent, subsidiary, related, affiliated and successor companies, and each of their respective officers, directors, agents, representatives and employees (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage, including, without limitation, death and bodily injury, arising in any manner, directly or indirectly, in whole or in part, from participation in this Promotion or any Promotion-related activity (including without limitation, any travel related thereto and, if applicable, the scavenger hunt game/Livestream), and/or from entrant’s acceptance, receipt, use or misuse of any prize[s] (to the extent applicable) (including without limitation, any failure to pay taxes thereon).

By accepting prize, prize winners grant Sponsor and its designees (including Jason) permission to use their name, voice, likeness, photograph, Prize information, biographical data and city and state of residence on a winners' list (if applicable) and for programming, publicity and promotional purposes, worldwide in all forms of media now known or hereafter developed, in perpetuity, without further compensation unless prohibited by law. The preceding includes the Livestream of the scavenger hunt game. With the sole and limited exception of the Livestream of the scavenger hunt game, Sponsor and its designees (including Jason) are not obligated to use any of the above-mentioned information or materials but may do so and may edit such information or materials, at Sponsor's discretion, without further obligation or compensation. Promotion subject to the laws of the United States only. All federal, state and local laws and regulations apply.

12. DISPUTES:

To the fullest extent permitted by law, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or the awarding of prizes shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Northern District of California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Promotion shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
